On 17 January 2025, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004. This notification concerns the following undertakings:
Repsol Industrial Transformation, S.L.U. (Repsol, Spain),
Bunge Global S.A. (Bunge, United States),
Bunge Ibérica, S.A. (BISA), currently solely controlled by Bunge.
Repsol and Bunge will acquire within the meaning of Article 3(1)(b) and 3(4) of the Merger Regulation joint control of BISA. The concentration is accomplished by way of purchase of shares. The business activities of the undertakings concerned are the following:
Repsol is a global integrated energy company active in the oil, gas and electricity industries. Repsol’s business also includes a division for renewable energy, including renewable fuels,
Bunge is an agribusiness and food company listed on the New York Stock Exchange. Bunge is predominantly active in the sale of oilseeds meals, oils as well as other vegetable oils. Bunge also sells grains, including corn, wheat, barley and milled products, such as wheat flour, as well as unprocessed oilseeds and other products,
BISA operates three oilseed crushing plants located in Spain and is mainly active in the oilseed processing and production, distribution and supply of plant-based oils, fats and proteins. BISA also produces biodiesel and related by-products.
On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved. The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission. Observations must reach the Commission not later than 10 days following the date of this publication.
