On 8 September 2017, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004. This notification concerns the following undertakings:
COMSA Concesiones SLU, fully-owned by COMSA Corporación de Infraestructuras, SL (Spain),
Mirova Core Infrasructure SÀRL, controlled by Natixis Asset Management, belonging to the Banque Populaire and Caisse d’Epargne Group (France),
Stichting Depositary PGGM Infrastructure Fund, in its capacity of titleholder of PGGM Infrastructure Fund (Netherlands)
COMSA Concesiones SLU, Mirova Core Infrasructure SÀRL and Stichting Depositary PGGM Infrastructure Fund, in its capacity of titleholder of PGGM Infrastructure Fund acquire within the meaning of Article 3(1)(b) and Article 3(4) of the Merger Regulation joint control of Superficiaria CP Mas d’Enric, SAU, Superficiaria Comsa I, SAU, and Albali Señalización, SA. The concentration is accomplished by way of purchase of shares. The business activities of the undertakings concerned are: — for COMSA infrastructures and engineering sector, — for Mirova portfolio management solutions aimed at combining value creation and sustainable development, — for PGGM pension services provider, specialising in the administration of collective pensions and including asset management, — for Mas d’Enric design, building and maintenance of the Mas d’Enric Prison in the municipality of d’El Catllar, Catalonia, — for COMSA 1 design, building and maintenance of two court buildings in the cities of Terrassa and Bisbal d’Empordà Catalonia, — for Albali development, construction and maintenance of the signalling and communication systems for the high speed railway network between Albacete and Alicante. On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved. Pursuant to the Commission Notice on a simplified procedure for treatment of certain concentrations under Council Regulation (EC) No 139/2004 it should be noted that this case is a candidate for treatment under the procedure set out in the Notice. The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission. Observations must reach the Commission not later than 10 days following the date of this publication.
