On 13 March 2018, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004. This notification concerns the following undertakings:
the AXA group (France),
Caisse des dépôts et consignations (CDC, France),
the target asset (the Target, France).
AXA and CDC acquire within the meaning of Article 3(1)(b) of the Merger Regulation control of the whole of the Target. The concentration is accomplished by way of purchase of assets. The business activities of the undertakings concerned are: — for AXA global insurance group active in life and health insurance, other forms of insurance, and investment management; — for CDC a public institution carrying out activities of general interest, consisting in particular of the management of private funds to which the government wishes to afford particular protection and activities open to competition in the environmental, real-estate, investment and capital investment, and services sectors; — for the Target three joint property lots, consisting of two retail units in a shopping mall in the Provence-Alpes-Côte d'Azur region. On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved. Pursuant to the Commission Notice on a simplified procedure for treatment of certain concentrations under Council Regulation (EC) No 139/2004, it should be noted that this case is a candidate for treatment under the procedure set out in the Notice. The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.
