On 10 December 2021, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004. This notification concerns the following undertakings:
Faurecia SE (Faurecia) (France),
HELLA GmbH & Co. KGaA (Hella) (Germany).
Faurecia acquires within the meaning of Article 3(1)(b) of the Merger Regulation control of the whole of Hella. The concentration is accomplished by way of public bid announced on 27 September 2021. The business activities of the undertakings concerned are:
for Faurecia: the development, manufacture, and supply of components for passenger cars and light commercial vehicles. Its four main business areas are seating, interiors, clean mobility (including solutions to reduce emissions and improve energy efficiency and acoustic performance), and electronics (in-vehicle infotainment, human machine interfaces and connectivity),
for Hella: the development and production of automotive parts, in particular lighting and electronic products.
On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved. The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission. Observations must reach the Commission not later than 10 days following the date of this publication.
